- Client, you: the company or person that asks us to carry out work.
- Agreement: the accepted proposal, together with these terms.
- Deliverables: everything we create for you, such as designs, websites, code, brand assets, copy and documentation.
Proposals and agreements
Our proposals are valid for 30 days unless stated otherwise. An agreement is formed when you accept a proposal in writing or by email, or when we start the work at your request.
A proposal is based on the information you give us. If that information turns out to be incomplete or incorrect, we may adjust the scope, planning and price in consultation with you.
How we carry out the work
We carry out every project to the best of our knowledge and ability, following good professional practice. Unless explicitly agreed otherwise, our obligations are best-efforts obligations, not obligations to achieve a specific result. Results such as conversion, rankings or revenue depend on many factors outside our control and are never guaranteed.
Deadlines and planning are estimates made in good faith. If we expect to miss a deadline, we let you know as early as possible and agree on a new planning together.
Your cooperation
- You provide the information, content, access and feedback we need on time and in full.
- You make sure that materials you give us (such as texts, images, logos and data) don’t infringe the rights of others.
- You appoint a contact person who can make decisions about the project.
- If delays on your side affect the planning or cost, we may charge the extra time at our current rates.
Changes and additional work
Requests outside the agreed scope count as additional work. We always discuss additional work with you first and only start once you agree. Additional work is charged at our current hourly or day rate, which we share with you upfront, unless we agree on a fixed price.
Fees and payment
All prices are in euros and exclude VAT, unless stated otherwise. Unless agreed otherwise, we invoice 50% at the start of a project and the remaining 50% on delivery. Ongoing services are invoiced monthly in advance.
Invoices must be paid within 14 days of the invoice date. If payment is late, we will send a reminder. If the invoice remains unpaid, statutory commercial interest and reasonable collection costs may be charged, and we may pause the work until payment has been received.
Intellectual property
Once all invoices for a project have been paid in full, the intellectual property rights to the final deliverables transfer to you, unless agreed otherwise. Until then, we grant you a licence to use the deliverables for the agreed purpose.
- Rejected concepts, sketches and working files remain ours, unless agreed otherwise.
- Third-party materials such as fonts, stock images, plugins and open-source code are subject to their own licences. Where needed, licences are purchased in your name or at your cost.
- We may show the work in our portfolio, on our website and on social media, unless you have asked us not to in writing or we have agreed on confidentiality.
Confidentiality
We both keep confidential any information that is marked as confidential or that should reasonably be understood to be confidential. This obligation continues after the agreement has ended. If needed, we are happy to sign a separate non-disclosure agreement.
Liability
Our liability is limited to direct damage and to a maximum of the amount invoiced for the project concerned over the last six months. In any case, our liability is limited to the amount paid out by our insurer in that case.
We are not liable for indirect damage, such as lost profit, lost revenue, lost data or reputational damage. These limitations do not apply in case of intent or deliberate recklessness on our part.
Termination
Either party may terminate an ongoing service with one month’s notice, unless agreed otherwise. If a project is stopped early, you pay for the work carried out up to that moment and for costs we have already incurred. Either party may terminate the agreement with immediate effect if the other party seriously fails to meet its obligations and does not remedy this within a reasonable period after written notice.

Personal data
We handle personal data with care and in line with the GDPR. Read how in our privacy policy. Where we process personal data on your behalf as part of a project, we sign a data processing agreement with you.
Applicable law and disputes
These terms and all agreements with Visinex are governed by Dutch law. We always try to resolve disagreements together first. If that doesn’t work, disputes will be submitted to the competent court in the district of Gelderland, the Netherlands.
